EXCLUSIVE SALES CONTRACT

 

 

An exclusive sales contract has been entered into on this first day of June in this year of nineteen hundred and seventy three between Messrs. Korea Trading Co., Seoul, Korea (hereinafter to be referred as Party A) and Osaka Trading Co. , Ltd, Osaka, Japan (hereinafter to be referred as party B), agreeing on the following terms and conditions -

 

1. Party A grants to Party B the right sole distributorship for training suits made of 5559 nylon and 4595 cotton in Japan.

 

2. Party B will work to the best of their ability in order to introduce and establish the largest possible sales in Japan and per calender year and the sales target should be around one million U.S. dollars.

 

3. Party A will quote to Party B the most reasonable prices at all times but Party A can enjoy the benefit of escalator clause in quoting prices in times when the prices of nylon and cotton yarn are in the rising trend. In other words, Party A will quote a price which is based on the "Cost Plus" basis.

 

4. All the prices Party A quoted to Party B shall be net prices CFR Japanese ports, and whatever price Party B receives from their customers over and above the net price is for the account of Party B.

 

5. Party A shall not offer the training suit to the above mentioned country either through their branch or under any other organization and like-wise party B shall not import the said article from any other Korean exporter of such item.

 

6. This contract shall be valid until the end of 1985 and can be renewed on a yearly basis if such intention is conveyed to the other party at least three (3) months before the expiry of the contract in writing and mutually agreed.

 

7, This contract shall become effective as soon as both parties set their signatures on the appropriate space provided.

 

8. This contract is made and typed in two (2) copies, being given to each party.
